GB Pit In: Terms and Conditions of Participation
Article 1: Scope of Application
These Terms and Conditions ("Terms") set forth the conditions applicable to any person who applies for ("Applicant") and any person who participates in ("Participant") GB Pit In ("Event") hosted by Global Brain Corporation ("Global Brain"). Any person wishing to participate in the Event ("Prospective Participant") shall agree to these Terms prior to applying for the Event.
Article 2: Application for Participation
- A Prospective Participant may apply for the Event by providing certain information required by Global Brain in a manner prescribed by Global Brain.
- A Prospective Participant must provide true, accurate, and up-to-date information to Global Brain when applying.
- Global Brain may refuse an application if a Prospective Participant falls under any of the following items:
- If Global Brain determines that there is a risk of violation of the Terms;
- If all or part of the information provided to Global Brain contains any falsehood, error, or omission;
- If the Prospective Participant has had their application for the Event rejected in the past;
- If the Prospective Participant has failed to participate in the Event without prior notice in the past;
- If Global Brain determines that the Prospective Participant is an anti-social force (meaning an organized crime group, a member thereof, a right-wing group, anti-social forces, or any other person equivalent thereto; the same shall apply hereinafter) or has some form of interaction or involvement with anti-social forces, such as cooperating with or being involved in the maintenance, operation, or management of anti-social forces through the provision of funds or otherwise;
- In addition to the preceding items, any other case in which Global Brain determines that the registration is inappropriate.
- Global Brain shall determine the eligibility of a Prospective Participant to participate in the Event in accordance with the preceding paragraph and other standards prescribed by Global Brain.
Article 3: Cancellation and Suspension
- If Global Brain determines that holding the Event is difficult due to unavoidable circumstances such as disruption of transportation, inclement weather, or at Global Brain's discretion, Global Brain may decide to cancel the Event. If Global Brain decides to cancel the Event, Global Brain shall, without delay, notify the Applicants at the contact information provided at the time of application or as subsequently updated by notice from the Applicants.
- Global Brain may decide to suspend the Event if it determines, at its discretion, that continuing the Event is difficult.
- Global Brain shall not be liable for any damages incurred by the Applicants or Participants resulting from the cancellation or suspension of the Event based on this Article.
Article 4: Disclaimer of Warranties and Limitation of Liability
- Global Brain shall not guarantee, either expressly or impliedly, the reliability, accuracy, completeness, usefulness, truthfulness, legality, etc. of the statements made by Global Brain's employees and Participants during the Event and shall assume no responsibility thereof.
- Global Brain shall not be liable for any damages suffered by the Applicants and Participants in connection with the Event. Even if Global Brain is held liable for damages to the Applicants and Participants due to the application of the Consumer Contract Act or for any other reason, Global Brain's liability shall be limited to direct and ordinary damages and shall not include indirect damages such as lost profits or loss of business opportunities.
Article 5: Compensation for Damages
- If an Applicant or Participant causes damages to Global Brain arising out of or in connection with the Event, the Applicant or Participant shall compensate Global Brain for such damages.
- If a dispute arises between an Applicant or Participant and another Participant or any other third party arising out of or in connection with the Event, the Applicant or Participant shall resolve such dispute at their own expense and responsibility and shall compensate Global Brain for any and all damages incurred by Global Brain.
Article 6: Handling of Personal Information
The handling of personal information of Prospective Participants, Applicants, and Participants by Global Brain shall be governed by Global Brain's Privacy Policy. Prospective Participants, Applicants, and Participants shall agree to Global Brain's handling of personal information in accordance with this Privacy Policy.

Article 7: Prohibited Acts
- Applicants and Participants shall not engage in any of the following acts when participating in the Event:
- Any act that hinders the progress of the Event;
- Any act that causes or is likely to cause disadvantage or damage to other Participants, third parties, or Global Brain;
- In addition to the preceding item, any other act that causes or is likely to cause disadvantage or damage to other Participants, third parties, or Global Brain;
- Any act that is or is likely to be contrary to public order and morals, or any act that provides information contrary to public order and morals to other Participants or third parties;
- Any act that constitutes a criminal act or leads to a criminal act, or any act that is likely to do so;
- Any act of recording, audio recording, or filming the Event without Global Brain's consent;
- Any act that violates or is likely to violate laws and regulations;
- In addition to the preceding items, any other act Global Brain determines to be inappropriate.
- If an Applicant or Participant violates the prohibited acts in the preceding paragraph or fails to follow the instructions of Global Brain's employees, Global Brain may take measures such as refusing participation or ordering the Participant to leave the Event. Global Brain shall not be liable for any damages incurred by the Applicant or Participant due to such measures taken by Global Brain.
Article 8: Amendment of the Terms
Global Brain may amend the Terms. In the event of an amendment, Global Brain shall announce the effective date and details of the amended Terms by posting them on Global Brain's website (https://globalbrains.com/) or by other appropriate means. If an Applicant applies for the Event or participates in the Event without taking procedures to cancel their application after the announcement of the amendment details, the Applicant or Participant shall be deemed to have agreed to the amendments to the Terms.
Article 9: Notices and Communications
Inquiries regarding the Event and other notices or communications from Applicants or Participants to Global Brain, and notifications regarding amendments to the Terms and other communications or notifications from Global Brain to Applicants or Participants, shall be made in a manner prescribed by Global Brain.
Article 10: Assignment of the Terms
- Participants shall not assign, transfer, grant a security interest in, or otherwise dispose of their status under the user agreement or their rights or obligations under the Terms to a third party without the prior written consent of Global Brain.
- In the event that Global Brain transfers the business related to the Event to a third party (regardless of the form of such transfer, including business transfer, company split, or otherwise), Global Brain may transfer its status under the user agreement, rights and obligations under the Terms, and Participant information and other customer information to the transferee of such business transfer, and Participants shall be deemed to have consented in advance to such transfer in this paragraph.
Article 11: Exclusion of Anti-Social Forces
Applicants and Participants represent and warrant that they do not currently belong to or fall under anti-social forces, have no relationship or involvement with such forces, and shall not belong to, fall under, or be involved with them in the future.
Article 12: Governing Law and Jurisdiction
The Terms shall be governed by and construed in accordance with the laws of Japan. Any and all disputes arising out of or in connection with the Terms shall be subject to the exclusive jurisdiction of the Tokyo District Court or the Tokyo Summary Court as the court of first instance.
Note: In the event of any conflict or inconsistency between the Japanese version and the English version, the Japanese version shall prevail.
